You may wish to abandon the corporation. But the $800 minmum annnual fee
continues until you formally de-register the corporation, and that involves
paying taxes to date. It is not clear from this:
http://www.ftb.ca.gov/businesses/personal_responsiblity.shtml
Whether principals of a corporation are personally liable for the franchise
tax. In other states they are not, and the corporation will be dissolved for
failure to pay the franchise tax without any adverse consequences to the
officers.

Tax issue - please help
We have a C Corp set up in California which is not doing well.
I understand that there is a min $800 fee to operate a C Corp in CA
whether we have any revenue or not.
Can anyone pls let me know if this is correct.
If so, what form ( form no. please) do I have to use to pay this
$800 ?
What is the deadline ? April 15th ?
We missed paying the above for last year so we have to pay for 2
years. This year and last year. Not sure what forms to use to send in
the payment.
Any help would be highly appreciated.
Thanks,
