The state where your business is going to operate. Forming an LLC or corporation in another state is an expensive waste of time for ordinary people. The state where you operate will tax you as a foreign entity; this normally means that you end up paying just as much in taxes and fees as if you had formed your company there in the first place. Plus you get the extra enjoyment of dealing with two states instead of one. For example, the promoters who flog Nevada incorporation never tell California residents that it costs just as much to qualify their Nevada corporation to do business in California as it would have been to incorporate in California in the first place. -- Not a lawyer, Chris Green
