I am trying to find the legal document called "corporate bylaws"
for a certain corporation based near San Francisco, CA. This is
a
corporation traded on NASDAQ. Technically, this corporation is
incorporated in Delaware. However, the state of Delaware and
state of California do not keep the corporate bylaws. e.g. the
state
of California only keeps Articles of Incorporation and some
amendments. The county where the corporation is based does not
keep
any such documents either.
The question is who outside the corporation itself keeps its
corporate
bylaws? I have not tried the SEC yet.
I don't remember whether bylaws are included as an attachment in
filings of form 10k with the SEC. Good idea though, try them.
Also check with NASDAQ, they certainly have a copy. There are no
public sources outside of those two, because if the company is not
publicly traded, there is no obligation to send the bylaws to
anyone except stockholders. You can always call the company and
ask. They may tell you the bylaws are posted on a website, or
they may happily send you a copy.
