Additional Details Needed.
Person A, B and C are all managing members of Company X, (An LLC).
Person A, B and C all agreed that person C would not take part in the
particular Venture (Let's call it Venure 1) and that only Person A and
B would make the investment via Company X.
Venture 1 is a cash investment in a covertible Note for another
Company (Company Y).
